Can someone help me better understand the JV and what the real benefit to Rivian was or is?

Everyone talks about it like it’s a $5.8 billion deal, but from what I understand, the only actual cash exchanged was the initial $1 billion for the technology. Everything else seems to be tied up in equity and loans, which just dilutes the stock price while giving Volkswagen a relatively low risk investment.

At the same time, Volkswagen is gaining ownership and influence over Rivian itself. To me, it almost feels like Rivian stopped just short of selling part of the company to Volkswagen, and in the process may have undervalued the technology stack they’ve built…
