Hi Guys, I'm currently studying for the SIE and have come across a topic that I'm struggling to find clear answers online for.

If anyone can share the difference between the quiet period and cooling of period that would be much appreciated.

Achievable defines cooling off period as the 20 day period after the registration statement (S-1) is filed, in which the firm must adhere to marketing limits

It's my understanding that quiet period has more to do with earnings season and not so much to do with IPO process but pls correct me if I'm wrong
